Terms of Service

These Terms of Service ("Terms") govern your use of the AID HQ website and services provided by AID Marketing Agency LLC ("AID HQ," "we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

AID HQ provides AI-powered marketing and automation services to contractors and trades businesses, including but not limited to:

  • AI voice receptionist and call handling systems
  • Missed-call text-back and SMS automation
  • Automated lead follow-up and nurture sequences
  • AI chatbot and DM automation deployment
  • CRM setup, pipeline management, and integration
  • Reputation management and review generation

Service scope, deliverables, pricing, and timelines for specific engagements are defined in separate service agreements or proposals signed by both parties.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of your business to use our services. By using our services, you represent and warrant that you meet these requirements.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for us to deliver services
  • Obtain all required consents from your customers before we deploy SMS, voice, or automated communication systems on your behalf
  • Comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and state telemarketing regulations in NC, SC, GA, TN, and any other applicable jurisdiction
  • Not use our services for any unlawful, deceptive, or harmful purpose
  • Provide timely feedback and approvals to avoid project delays
  • Pay all invoices on the agreed schedule

4. Payment Terms

Unless otherwise specified in a written service agreement:

  • Setup fees are due before work begins or as invoiced
  • Monthly retainer fees are due on the first of each month
  • Invoices unpaid after 15 days may incur a 1.5% monthly late fee
  • Services may be suspended for accounts more than 30 days past due
  • All fees are non-refundable unless otherwise stated in a written agreement

5. Intellectual Property

Upon full payment, you own the deliverables we create specifically for you (ad copy, workflows, templates). AID HQ retains ownership of all underlying tools, frameworks, code, methodologies, and systems used to deliver those services. We retain the right to use anonymized results, metrics, and non-confidential work samples in our portfolio and marketing materials unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared in the course of the engagement. This includes business strategies, customer data, pricing, and systems on both sides. This obligation survives termination of the engagement for two (2) years.

7. SMS and Voice Compliance

When we deploy SMS or voice automation systems on your behalf, you acknowledge and agree that:

  • You are the originating party for all communications sent to your customers
  • You have obtained proper opt-in consent from all recipients as required by TCPA and applicable law
  • You will maintain records of opt-in consent and honor opt-out requests promptly
  • You will register your brand and campaigns with carriers as required for A2P 10DLC compliance
  • AID HQ is not liable for TCPA violations arising from your failure to obtain proper consent

8. Limitation of Liability

To the fullest extent permitted by law, AID HQ shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services, including but not limited to lost profits, lost leads, or business interruption.

Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to AID HQ in the three (3) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our AI systems will be error-free, uninterrupted, or that they will achieve specific business outcomes. Results vary based on market conditions, your business, and factors outside our control.

10. Termination

Either party may terminate a service engagement with 30 days written notice unless otherwise specified in a service agreement. Upon termination:

  • All outstanding invoices become immediately due
  • We will provide reasonable transition assistance for 14 days post-termination
  • We will return or delete your confidential data upon written request

We may terminate immediately, without notice, for violations of these Terms or non-payment.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Mecklenburg County, NC under the rules of the American Arbitration Association.

12. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
